End User License Agreement

This End User License Agreement (“EULA”) is a legal agreement between you and the operator of Hip-Hop Mgmt (“we,” “us,” or “our”) for use of the Hip-Hop Mgmt web application, related software, and services (collectively, the “Software”). By creating an account, signing in, or using the Software, you agree to this EULA. If you do not agree, do not use the Software.
1. License grant
Subject to your compliance with this EULA, our Terms of Use, and an active subscription where required, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Software for your personal or internal business purposes as an independent artist, manager, label, or creative team.
2. Restrictions
You may not:
- Copy, modify, or create derivative works of the Software except as allowed by normal use
- Reverse engineer, decompile, or attempt to extract source code except where law prohibits this restriction
- Resell, sublicense, rent, or make the Software available to third parties as a hosted service
- Use the Software to build a competing product or scrape it in bulk without permission
- Remove or alter proprietary notices, branding, or license metadata
- Circumvent access controls, rate limits, or security measures
- Use the Software in violation of applicable law or third-party rights
3. Your content
You retain ownership of music, lyrics, artwork, files, and other content you upload (“Your Content”). This EULA does not transfer ownership of Your Content to us. You grant us the licenses described in our Terms of Use solely to operate the workspace (storage, display, backup, and features you invoke).
You represent that you have the rights needed to upload and use Your Content in the Software, including samples, beats, splits, and collaborator materials.
4. Subscriptions and payments
Paid plans are processed through Stripe. Fees, renewal, and cancellation terms are shown at checkout and in your account billing settings. Failure to pay may suspend access to paid features. Marketplace purchases are subject to separate seller/buyer terms shown at purchase.
5. Updates and changes
We may update the Software, add or remove features, and change this EULA. Material changes will be reflected by updating the date above. Continued use after changes constitutes acceptance. If you do not agree to an update, stop using the Software and close your account.
6. Termination
This license ends when your account is closed, your subscription lapses (for paid-only features), or we suspend or terminate access for breach. Upon termination, your right to use the Software stops. Export your data before closure where the product provides export tools.
7. Disclaimer of warranties
THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE UNINTERRUPTED SERVICE, ERROR-FREE OPERATION, OR THAT THE SOFTWARE WILL MEET YOUR COMMERCIAL OR CREATIVE REQUIREMENTS.
8. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL, ARISING FROM USE OF THE SOFTWARE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SOFTWARE IS LIMITED TO THE GREATER OF (A) AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).
9. Copyright complaints
Report alleged copyright infringement under our DMCA Copyright Policy.
10. Privacy
Our collection and use of personal data is described in the Privacy Policy.
11. Governing law
This EULA is governed by the laws applicable to the operator of Hip-Hop Mgmt, without regard to conflict of law principles. Disputes will be resolved in the courts or forums specified in our Terms of Use unless applicable law requires otherwise.
